Membership Terms and Policy

Effective Date: August 29, 2026

These Membership Terms and Policy (“Membership Terms”) govern individual and organization memberships offered by Yellowstone County Mental Health Alliance, LLC (“YCMHA,” “the Alliance,” “we,” “us,” or “our”).

By purchasing, renewing, or using a YCMHA membership, the member agrees to these Membership Terms, as well as YCMHA’s general Terms and Conditions and Privacy Policy.

1. Purpose of Membership

YCMHA membership is designed to foster connection, collaboration, resource-sharing, and professional development among individuals and organizations connected to the mental health and wellness community.

Membership is available to clinicians, healthcare providers, nonprofits, schools, agencies, allied professionals, and other individuals or organizations whose work relates to mental health, wellness, or community support.

YCMHA reserves the right to determine whether an applicant meets the membership eligibility requirements.

2. Age Requirement

Individual members and designated organization users must be at least 18 years old.

3. Membership Options and Pricing

YCMHA currently offers the following annual membership options:

Individual Membership

Individual membership is available for $49 per year and provides membership benefits to one person.

Organization Membership

Organization membership is available at the following annual rates:

  • Organizations with 2–7 designated users: $199 per year
  • Organizations with 8–12 designated users: $349 per year

Organizations seeking membership for more than 12 designated users should contact YCMHA at info@ycmentalhealthalliance.com for custom pricing.

The number of users included in an organization membership is based on the number of individuals designated to receive membership access and benefits—not the organization’s total number of employees.

Current pricing, included benefits, billing frequency, and any membership-specific conditions will be displayed on the applicable membership or checkout page. If information on the checkout page conflicts with these Membership Terms, the information presented and accepted at checkout will control for that purchase.

4. Individual Accounts

An individual membership belongs only to the person who purchased or was assigned the membership.

Login credentials, member-only links, event access, discounts, resources, and other membership benefits may not be shared with another person. Individual memberships may not be transferred or reassigned.

Members are responsible for maintaining the confidentiality of their login credentials and for activity occurring through their accounts. Members should notify YCMHA promptly if they believe their account has been accessed without authorization.

5. Organization Memberships and Designated Users

An organization membership provides access only to the number of designated users included in the organization’s purchased membership tier.

Each designated user must have their own account and may not share login credentials, member-only links, discounts, resources, or access with employees or other individuals who are not designated users.

The purchasing organization is responsible for:

  • Providing accurate information about its designated users;
  • Ensuring designated users comply with these Membership Terms;
  • Informing YCMHA when a designated user is no longer affiliated with the organization; and
  • Ensuring that the organization does not exceed the number of users included in its membership tier.

An organization may replace or change its designated users up to three times during each membership year. Additional changes may be permitted at YCMHA’s discretion when circumstances warrant an exception.

Designated-user changes do not extend the organization’s membership term or create a new membership period.

6. Membership Benefits

Benefits may vary by membership type and may include:

  • Access to member-only events, programs, or content;
  • Access to networking opportunities;
  • Eligibility for certain member discounts;
  • Reduced fees for eligible continuing education opportunities;
  • Access to professional or community resources;
  • Eligibility for a YCMHA directory listing;
  • Permission to use the applicable YCMHA member badge;
  • Recognition as a YCMHA member; and
  • Other benefits identified on the applicable membership page.

Membership does not guarantee access to every YCMHA event, service, program, resource, or continuing education opportunity. Some offerings may require separate registration, an additional fee, or satisfaction of professional eligibility requirements.

YCMHA’s regularly scheduled community meet-ups may remain free and open to nonmembers. Membership is not required to attend an event identified as free and open to the public or broader professional community.

7. Continuing Education

Membership does not automatically include continuing education credit.

Continuing education may be available only for specifically identified programs and may require:

  • Attendance for the required amount of time;
  • Completion of an evaluation or other required documentation;
  • Payment of a separate continuing education fee; and
  • Compliance with any additional continuing education policies.

Member discounts apply only when stated and may not be transferred, shared, combined with other offers, or used after membership expires.

YCMHA does not guarantee that a particular licensing board, employer, or other organization will accept a continuing education activity or certificate. Members are responsible for confirming that an activity meets their own professional requirements.

8. Directory Eligibility and Listings

Individual members in good standing may be eligible for one individual directory listing. An organization membership may be eligible for one organization directory listing.

A directory listing is not automatic. Members must submit the requested information and remain responsible for ensuring that all information is accurate, current, lawful, and not misleading.

To remain eligible for a directory listing, a member or organization must:

  • Maintain an active membership in good standing;
  • Hold any license, certification, registration, or authorization represented in the listing;
  • Accurately describe services, qualifications, and professional status;
  • Promptly disclose any material restriction affecting a represented professional license or credential; and
  • Not be subject to a pending legal, regulatory, licensing, or disciplinary matter that YCMHA reasonably determines is materially related to professional conduct, public safety, integrity, or suitability for inclusion in the directory.

YCMHA may request additional information when reviewing directory eligibility. YCMHA may decline, suspend, edit, or remove a listing when it reasonably believes the listing is inaccurate, misleading, inappropriate, inconsistent with YCMHA’s purpose, or potentially harmful to the community.

Members should not include confidential client information or make unsubstantiated claims in directory listings.

Inclusion in the directory does not constitute an endorsement, recommendation, referral, verification, credentialing decision, or guarantee by YCMHA. YCMHA does not guarantee the accuracy, quality, availability, licensing status, competence, outcomes, or services of any listed member or organization.

Individuals seeking services are responsible for independently evaluating a provider or organization.

9. Use of the YCMHA Member Badge

Members in good standing may display the applicable YCMHA member badge on their websites, social media accounts, email signatures, or marketing materials during the active membership term.

The badge may not be altered, sold, transferred, sublicensed, used by a nonmember, or used in a manner that is misleading or inconsistent with YCMHA’s brand guidelines.

The badge indicates only that the individual or organization holds an active YCMHA membership. It does not represent or imply endorsement, certification, accreditation, credentialing, approval, professional competence, or verification by YCMHA.

Permission to use the badge ends immediately when membership expires, is canceled at the end of the paid term, or is suspended or terminated. Former members must remove the badge from their websites and marketing materials within a reasonable period following the end of membership.

10. Professional and Community Conduct

Members and designated users are expected to interact respectfully and contribute to a professional, welcoming, and safe community.

Members may not:

  • Harass, threaten, intimidate, discriminate against, or deliberately harm another person;
  • Engage in unsafe, fraudulent, deceptive, or unlawful conduct connected to YCMHA;
  • Misrepresent their identity, credentials, experience, services, licensing status, organization, or relationship with YCMHA;
  • Share accounts, member-only links, restricted resources, or benefits with unauthorized individuals;
  • Infringe intellectual property, privacy, confidentiality, or other legal rights;
  • Use YCMHA events, platforms, directories, or contact information to spam, pressure, exploit, or improperly solicit others;
  • Record, photograph, or distribute member-only conversations or materials without appropriate permission;
  • Use confidential information shared through YCMHA for an unauthorized purpose;
  • Disrupt events, programs, online spaces, or other Alliance activities; or
  • Engage in conduct that substantially harms YCMHA, its members, its community, or its ability to carry out its mission.

Members remain responsible for complying with all laws, ethical standards, licensing requirements, and professional obligations applicable to their own work.

11. No Clinical, Supervisory, Employment, or Referral Relationship

Membership does not create a clinical, therapeutic, medical, supervisory, employment, partnership, joint venture, agency, fiduciary, or formal referral relationship between YCMHA and any member.

YCMHA does not direct or supervise the professional judgment, employment practices, services, treatment decisions, business activities, or client relationships of its members.

Information shared through YCMHA events, resources, discussions, directories, or programs is provided for general educational, networking, or informational purposes. It should not be treated as individualized legal, medical, clinical, financial, or other professional advice.

12. Event Registration and Attendance

Membership does not guarantee admission to an event. Events may have limited capacity, eligibility requirements, registration deadlines, separate fees, or other participation conditions.

If a member registers for a paid or limited-capacity event, that event’s cancellation, transfer, attendance, and refund policy applies separately from this Membership Policy.

Failure to attend an event does not entitle a member to a membership refund, credit, extension, or replacement benefit.

YCMHA may change an event’s date, location, speaker, format, agenda, or availability when reasonably necessary.

13. Payment and Automatic Renewal

Memberships are billed annually and automatically renew at the end of each membership term unless canceled before the renewal date.

By purchasing a membership, the member authorizes YCMHA and its payment processor to charge the payment method on file for the membership price and applicable taxes at the beginning of each renewal term.

YCMHA intends to send a renewal reminder approximately 30 days before the scheduled renewal date. Members remain responsible for monitoring their membership status and renewal date even if a reminder is delayed, filtered, undeliverable, or not received.

Members must keep their billing and contact information current.

If a renewal payment fails, YCMHA may retry the payment, request an updated payment method, suspend membership benefits, or terminate the membership for nonpayment.

14. Price Changes

YCMHA may change membership pricing for future membership terms.

When reasonably possible, members will receive advance notice of a material price change before the next renewal. A price change will not alter the price of a membership term that has already been paid.

If a member does not agree to the new price, the member must cancel before the next renewal date.

15. Cancellation

Members may cancel automatic renewal through the membership account, when that option is available, or by contacting YCMHA at info@ycmentalhealthalliance.com.

Cancellation prevents the membership from renewing for another term. Unless otherwise stated, cancellation does not end the current paid membership term.

After cancellation, membership access and benefits generally continue through the end of the already-paid term. The membership will then expire and will not renew.

Members are responsible for canceling before the renewal date if they do not want to be charged for another annual term.

16. Refund Policy

Initial Membership Purchases

A member may request a refund within 14 calendar days of the initial membership purchase.

Refund requests must be submitted to info@ycmentalhealthalliance.com within the 14-day period. If a refund is issued, membership access and benefits will end.

After the Initial 14-Day Period

After the initial 14-day refund period:

  • Membership fees are generally nonrefundable;
  • Cancellation stops future renewal but does not create a prorated refund;
  • Unused benefits, missed events, or failure to use the membership do not create a right to a refund; and
  • Memberships may not be transferred to another person or membership year.

Renewal Payments

Renewal payments are generally nonrefundable. However, YCMHA may, in its sole discretion, make an exception when a member contacts YCMHA promptly after an unintended renewal and has not used membership benefits during the new term.

An exception made in one situation does not require YCMHA to make the same exception in another situation.

Nothing in this section limits any nonwaivable refund or cancellation rights provided by applicable law.

17. Suspension or Termination by YCMHA

YCMHA may suspend, restrict, or terminate a membership or designated user’s access for reasons including:

  • Nonpayment or a failed payment;
  • Account or benefit sharing;
  • Fraud, deception, or material misrepresentation;
  • Harassment, discrimination, threats, or unsafe conduct;
  • Unlawful conduct connected to YCMHA;
  • Misuse of YCMHA materials, platforms, directories, events, or intellectual property;
  • Violation of another person’s privacy, confidentiality, or legal rights;
  • A material violation of these Membership Terms;
  • Conduct that creates a meaningful safety, legal, reputational, or operational risk to YCMHA or its community; or
  • Conduct that substantially harms the Alliance, its members, or its mission.

When appropriate, YCMHA may provide notice and an opportunity to address the concern before termination. However, YCMHA may suspend or terminate access immediately when it reasonably believes immediate action is necessary to protect a person, the Alliance, or the community.

Termination for misconduct or material breach will generally be without a refund. Termination of one designated user does not necessarily require termination of the entire organization membership, although YCMHA may terminate the organization membership when the organization participated in, authorized, or failed to address the violation.

18. Changes to Benefits and Programs

YCMHA may add, remove, replace, modify, postpone, or discontinue membership benefits, events, programs, discounts, platforms, resources, or features.

YCMHA will make reasonable efforts to provide advance notice when a material change significantly affects a paid membership. Changes that are administrative, minor, required by law, related to safety, or necessary to address circumstances outside YCMHA’s control may take effect without advance notice.

A change to a particular benefit does not automatically entitle a member to a full or prorated refund. If YCMHA permanently discontinues substantially all benefits of a paid membership, YCMHA may provide an appropriate credit, alternative benefit, or refund at its discretion and as required by law.

19. Intellectual Property and Member Materials

YCMHA’s name, logos, badges, website content, event materials, recordings, downloads, resources, and other original materials are owned by or licensed to YCMHA and are protected by applicable intellectual property laws.

Membership grants a limited, revocable, nonexclusive, and nontransferable right to access and use member materials for the member’s own internal personal or organizational purposes.

Unless YCMHA gives written permission, members may not copy, sell, publish, distribute, upload, reproduce, modify, teach from, sublicense, or create commercial products from YCMHA materials.

Members retain ownership of materials they submit to YCMHA. By voluntarily providing a logo, biography, photograph, directory description, testimonial, event material, or similar content for publication, the member gives YCMHA permission to use, reproduce, format, and display that material for membership administration, directory publication, event promotion, and Alliance communications until permission is withdrawn or the applicable listing or promotion ends.

Members represent that they have the right to provide submitted materials and that YCMHA’s authorized use will not violate another person’s rights.

20. Privacy and Communications

YCMHA may collect and use membership information as described in its Privacy Policy.

By becoming a member, the member agrees to receive transactional and administrative communications related to:

  • Account access;
  • Billing and renewals;
  • Membership status;
  • Event registration or schedule changes;
  • Member benefits;
  • Policy updates; and
  • Other information necessary to administer the membership.

Members may also receive newsletters or promotional communications and may unsubscribe from those messages using the provided unsubscribe option. Unsubscribing from promotional messages may not stop essential administrative or transactional communications.

Members are responsible for maintaining a current email address and reviewing communications sent to that address.

21. Third-Party Services and Links

YCMHA may use third-party platforms to process payments, administer memberships, host events, send communications, or provide access to resources.

YCMHA is not responsible for interruptions, errors, data practices, security incidents, terms, or services controlled by an independent third party. Use of third-party services may also be governed by that provider’s terms and privacy policy.

22. Disclaimer of Warranties

To the fullest extent permitted by law, membership, benefits, directories, events, resources, and related services are provided on an “as available” basis.

YCMHA does not guarantee uninterrupted access, specific results, business opportunities, referrals, revenue, professional advancement, attendance levels, networking outcomes, or the continued availability of any particular benefit, speaker, event, platform, or resource.

YCMHA does not guarantee the statements, qualifications, services, conduct, or information provided by members, speakers, sponsors, exhibitors, organizations, or other third parties.

23. Limitation of Liability

To the fullest extent permitted by law, YCMHA and its owner, employees, contractors, representatives, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to membership, an event, a directory listing, a member interaction, a third-party service, or the inability to access a membership benefit.

To the fullest extent permitted by law, YCMHA’s total liability for a claim related to membership will not exceed the amount the member paid to YCMHA for the membership during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Membership Terms excludes liability that cannot legally be excluded or limited.

24. Responsibility for Claims Arising From Member Conduct

Each member and organization remains responsible for its own conduct, services, representations, employees, designated users, and professional activities.

To the fullest extent permitted by law, a member or organization agrees to defend, indemnify, and hold harmless YCMHA and its owner, employees, contractors, representatives, and agents from third-party claims, damages, liabilities, and reasonable expenses arising from:

  • The member’s professional or business activities;
  • Content or materials submitted by the member;
  • The member’s violation of law, professional obligations, or another person’s rights;
  • The conduct of the organization’s designated users; or
  • A material violation of these Membership Terms.

25. Changes to These Membership Terms

YCMHA may update these Membership Terms as its membership program, services, legal obligations, or business practices change.

The updated policy will be posted with a revised effective date. YCMHA will make reasonable efforts to notify active members before a material change takes effect.

Continued use of membership after an updated policy takes effect constitutes acceptance of the revised Membership Terms, except where additional consent is required by law.

26. Governing Law and Venue

These Membership Terms are governed by the laws of the State of Montana, without regard to conflict-of-law principles.

To the extent permitted by law, any legal action arising from these Membership Terms or a YCMHA membership must be brought in a state or federal court with jurisdiction in Yellowstone County, Montana.

27. Severability

If any provision of these Membership Terms is determined to be invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

28. No Waiver

YCMHA’s decision not to enforce a provision on one occasion does not waive its right to enforce that provision or another provision in the future.

29. Entire Membership Agreement

These Membership Terms, together with the applicable checkout information, YCMHA’s general Terms and Conditions, Privacy Policy, and any separately stated event policies, constitute the agreement governing the membership.
