1. Introduction
These Terms and Conditions (the “Terms”) govern your access to and use of the Yellowstone County Mental Health Alliance website, including any related pages, accounts, memberships, registrations, resources, directories, forms, and services offered through the website (collectively, the “Website”).
The Website is owned and operated by Yellowstone County Mental Health Alliance, LLC (“YCMHA,” “we,” “us,” or “our”), a Montana limited liability company.
These Terms apply to Website visitors, subscribers, members, event participants, continuing education participants, sponsors, exhibitors, advertisers, and anyone who submits information or purchases or accesses a YCMHA service through the Website. Some memberships, events, sponsorships, continuing education programs, or other offerings may also be governed by additional written terms, registration policies, invoices, or agreements. If an additional written agreement conflicts with these Terms, the additional agreement will control with respect to that specific offering.
2. Acceptance of These Terms
By accessing or using the Website, creating an account, submitting a form, registering for an event, purchasing a membership or service, or affirmatively agreeing to these Terms, you acknowledge that you have read, understood, and agreed to be bound by them.
When a checkbox or other affirmative acceptance mechanism is presented during registration or checkout, you must accept the applicable terms before completing the transaction. If you do not agree to these Terms, do not use the Website, create an account, or purchase or access YCMHA’s paid services.
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or make a purchase through the Website.
3. Nature and Purpose of YCMHA
YCMHA is a professional and community network that supports connection, collaboration, education, resource sharing, and relationship-building among mental health and wellness professionals, organizations, businesses, and community partners.
YCMHA is not a healthcare provider, counseling practice, crisis-response service, licensing board, credentialing organization, referral agency, or emergency service. YCMHA does not provide psychotherapy, diagnosis, medical care, legal advice, or individualized clinical recommendations through the Website.
4. No Professional or Therapeutic Relationship
Information provided on the Website is for general educational, informational, professional-development, and community-resource purposes only. It is not a substitute for medical, mental health, legal, financial, or other individualized professional advice.
Your use of the Website does not create a therapist-client, physician-patient, attorney-client, supervisory, consulting, fiduciary, or other professional relationship with YCMHA, its owner, staff, contractors, speakers, members, sponsors, exhibitors, or listed organizations.
If you or someone else is experiencing an emergency or may be in immediate danger, call 911. For mental health crisis support in the United States, call or text 988. Do not use a Website form, email address, social media page, directory listing, or event registration to request emergency assistance.
5. Electronic Communications
By using the Website or communicating with us electronically, you consent to receive transaction-related communications electronically, including account notices, receipts, membership information, registration confirmations, schedule changes, policy updates, and other communications related to services you request.
Marketing and newsletter communications are voluntary. You may unsubscribe from promotional emails by using the unsubscribe link included in the message. Unsubscribing from marketing messages will not prevent us from sending necessary account, payment, registration, safety, or service-related communications.
6. Accounts and Security
Certain Website features require a MemberPress or other WordPress account. You agree to provide accurate, complete, and current information and to update it when necessary.
You are responsible for safeguarding your username, password, and account access. Individual accounts are personal and may not be shared, sold, transferred, or used by another person. Organization Membership access is limited to the individuals and number of users permitted by the membership description presented at purchase.
You must notify us promptly if you suspect unauthorized access to your account. You are responsible for activity conducted through your account to the extent permitted by law.
We may suspend or terminate an account for nonpayment, account sharing, fraudulent activity, misrepresentation, unlawful conduct, harassment, misuse of member resources, violation of community expectations, infringement of another person’s rights, or a material breach of these Terms.
7. Memberships
YCMHA may offer Individual Memberships, Organization Memberships, and other membership options described on the Website. Membership benefits, eligibility, prices, billing frequency, renewal terms, and included users will be displayed on the applicable registration or checkout page.
Membership benefits may include access to member-only events or content, continuing education discounts, networking opportunities, educational resources, recognition, badges, directory eligibility, or other benefits identified at the time of enrollment. Free YCMHA meet-ups remain open to nonmembers unless otherwise stated.
Membership does not guarantee referrals, clients, revenue, business opportunities, professional advancement, event attendance, speaking opportunities, directory placement, or any particular result. Membership also does not constitute YCMHA’s endorsement, credentialing, approval, or verification of a member’s professional competence, licensure, services, products, or organization.
We may reasonably modify membership benefits, scheduling, platforms, or program features as YCMHA develops. When a change materially affects a paid membership, we will make reasonable efforts to provide advance notice.
8. Membership Billing, Renewal, and Cancellation
The applicable membership price and billing frequency will be disclosed before purchase. If a membership is configured to renew automatically, the checkout page will clearly disclose the recurring nature of the charge, the renewal interval, and how to cancel future renewal.
By purchasing an automatically renewing membership, you authorize YCMHA and its payment processor to charge the payment method on file at each renewal until you cancel or the membership is otherwise terminated.
You may cancel future renewal through your online member account when that functionality is available or by contacting us at info@ycmentalhealthalliance.com. Cancellation prevents future renewal charges but does not ordinarily end access before the conclusion of the already-paid membership term or generate a prorated refund.
If a renewal payment fails, we may retry the payment, request an updated payment method, suspend benefits, or terminate access. You remain responsible for charges properly incurred before cancellation.
9. Refunds and Cancellations
YCMHA does not currently sell or ship physical goods through the Website. The following policies apply to services and digital content unless a more specific policy is displayed during checkout or contained in a separate agreement.
9.1 Initial Membership Purchases
You may request cancellation and a refund of an initial annual membership purchase within 14 calendar days of the purchase date by emailing info@ycmentalhealthalliance.com. Refund eligibility may be reduced or denied to the extent permitted by law if substantial membership benefits have already been used, transferred, downloaded, redeemed, or provided.
After the 14-day period, membership payments are nonrefundable except when required by law or expressly approved by YCMHA. Canceling a membership after that period prevents future renewal but does not create a refund for the current membership term.
9.2 Membership Renewals
Renewal charges are nonrefundable except when required by law or when YCMHA approves a refund based on the circumstances. Members are responsible for canceling automatic renewal before the renewal charge is processed. We encourage members to contact us promptly if they believe a renewal was processed in error.
9.3 Continuing Education Fees
Continuing education fees are nonrefundable after attendance or viewing has been verified, an evaluation has been submitted, certificate processing has begun, or a certificate has been issued. If YCMHA cancels an eligible paid continuing education program and does not provide a replacement, rescheduled presentation, or substantially equivalent access, YCMHA will provide a refund or credit as described in the notice of cancellation.
9.4 Event and Conference Registrations
Event and conference registrations are subject to the cancellation, substitution, transfer, and refund terms displayed on the applicable registration page. Those event-specific terms are incorporated into these Terms. If no separate refund policy is displayed, contact us before purchasing if you require clarification.
9.5 Sponsorships, Advertising, and Exhibitor Purchases
Sponsorships, advertising placements, exhibitor spaces, deposits, and add-on opportunities are governed by the applicable sponsorship description, invoice, selection form, or written agreement. Deposits and payments may be nonrefundable as specified in those materials. Submission of a sponsorship request does not guarantee availability. A sponsorship or exhibitor opportunity is reserved only after YCMHA confirms availability and receives the required payment.
9.6 Payment Processing
Approved refunds will generally be returned to the original payment method. Processing times are controlled in part by the payment processor and financial institution. Unless required by law, processing fees charged by third-party payment providers may be nonrefundable.
10. Events, Meet-Ups, and Conferences
YCMHA may offer free and paid meet-ups, networking events, workshops, conferences, virtual programs, and other activities. Eligibility, pricing, registration requirements, schedules, locations, and access instructions will be stated in the applicable event information.
YCMHA may make reasonable changes to an event’s speakers, sessions, schedule, venue, platform, format, capacity, food service, continuing education availability, or other program details. A change in a speaker, session, agenda, or comparable program detail does not automatically entitle a participant to a refund.
Attendees must behave respectfully and comply with venue rules, safety instructions, professional expectations, and applicable law. YCMHA may remove or deny access to anyone whose conduct is unsafe, disruptive, threatening, discriminatory, harassing, unlawful, or materially interferes with the experience of others. Unless required by law or caused by YCMHA’s material breach, a participant removed for misconduct will not receive a refund.
Unless YCMHA expressly authorizes otherwise, attendees may not record, reproduce, livestream, distribute, or commercially use presentations, slides, discussions, or event materials.
11. Photography, Audio, and Video at Events
YCMHA may photograph, record, or film public areas and activities at its events for documentation, education, reporting, archival, and promotional purposes. By attending an event, you acknowledge that incidental images or recordings of attendees may occur.
When reasonably possible, attendees who do not wish to be prominently photographed or recorded should notify YCMHA during registration or at event check-in. YCMHA will make reasonable efforts to honor such requests but cannot guarantee exclusion from crowd scenes, background images, livestreams, security footage, or recordings made by third parties outside YCMHA’s control.
Separate written permission may be requested for interviews, testimonials, featured portraits, or other uses in which an individual is a primary subject.
12. Continuing Education
Not every YCMHA event or presentation qualifies for continuing education credit. The applicable event page will state whether credit is available, the number and type of credits offered, participant eligibility, fees, attendance requirements, evaluation requirements, assessment requirements, and any additional conditions.
For eligible monthly meet-up presentations, live attendance may qualify for 1 continuing education credit, and an eligible recorded presentation may qualify for 0.5 continuing education credit, as stated on the applicable program page. Credit requires completion of all stated requirements, which may include attendance or viewing verification, completion of an evaluation or assessment, and payment of the applicable fee.
YCMHA may decline or delay issuance of a certificate when program requirements have not been completed or payment has not been received. Participants are responsible for maintaining their certificates and determining whether a program satisfies the requirements of their licensing board, certification body, employer, or other authority.
When a program is offered for NBCC credit, the applicable promotional materials and program documentation will include the required NBCC Approved Continuing Education Provider information. Approval of a provider or program does not constitute endorsement of all Website content, speakers, sponsors, exhibitors, members, or services.
13. Directories, Listings, and Referrals
The Website may include directories, member profiles, speaker information, sponsor listings, partner information, or links to independent professionals and organizations. Information in these listings is supplied by the listed person or organization or compiled from information they authorize us to use.
YCMHA does not guarantee that directory or listing information is complete, current, accurate, or suitable for a visitor’s particular needs. Inclusion in a directory, archive, article, event, newsletter, or resource page does not constitute endorsement, credential verification, supervision, employment, partnership, referral, or a guarantee of services.
Visitors are responsible for independently evaluating a provider or organization, including verifying licensure, credentials, insurance participation, availability, fees, scope of practice, services, and fitness for the visitor’s needs. YCMHA is not a party to relationships, communications, contracts, treatment, or disputes between Website visitors and listed third parties.
14. Member News, Events, and Third-Party Offerings
The Website may highlight groups, events, workshops, trainings, services, resources, announcements, or other offerings created by YCMHA members, speakers, sponsors, partners, or other third parties. Unless expressly identified as a YCMHA program, these offerings are independently operated and are not hosted, supervised, controlled, or guaranteed by YCMHA.
The person or organization offering the activity is responsible for its content, claims, registration, accessibility, safety, privacy practices, fees, refunds, professional compliance, and delivery. Visitors participate in third-party offerings at their own discretion and subject to the third party’s terms.
15. User and Member Submissions
You may submit event information, directory details, articles, announcements, photographs, videos, logos, biographies, resources, comments, forms, or other materials for possible publication (“Submitted Content”). You retain ownership of Submitted Content you own.
By intentionally submitting content for publication, you grant YCMHA a non-exclusive, worldwide, royalty-free license to host, reproduce, format, edit for length or clarity, display, distribute, and promote that content in connection with YCMHA’s Website, newsletters, events, social media, archives, and related communications. This license continues for materials already published or incorporated into archival records, but you may request removal of future uses by contacting us. We will consider removal requests in good faith, subject to legal, recordkeeping, archival, contractual, and technical limitations.
You represent that you own the Submitted Content or have all permissions necessary for YCMHA to use it as described. You may not submit confidential client information, protected health information, content that violates professional obligations, unlawful material, misleading claims, infringing material, or content that violates another person’s privacy, publicity, intellectual property, or other rights.
YCMHA may accept, decline, edit, postpone, unpublish, or remove Submitted Content in its discretion. Publication does not constitute endorsement.
16. Intellectual Property
Except for third-party materials and Submitted Content, the Website’s original text, graphics, photographs, videos, downloads, logos, branding, design elements, event materials, and other content are owned by YCMHA or used with permission and are protected by applicable intellectual property laws.
All rights are reserved. Unless YCMHA expressly provides written permission or marks a resource for sharing or download, you may not reproduce, republish, sell, license, distribute, modify, remove ownership notices from, or commercially exploit Website content.
You may share links to publicly available Website pages and may quote brief portions for lawful purposes with appropriate attribution. Journalists, speakers, partners, and community organizations may use media resources only as permitted by the usage instructions accompanying those resources. Third-party logos, speaker materials, photographs, and other content remain the property of their respective owners.
17. Affiliate Links, Sponsorships, and Advertising
The Website may contain affiliate links. If you make a purchase through an affiliate link, YCMHA may receive a commission or other benefit at no additional cost to you. A clear affiliate disclosure will also appear near content containing affiliate recommendations when appropriate.
YCMHA may receive payment or in-kind support from sponsors, advertisers, exhibitors, and community partners. Financial support, advertising, sponsorship, exhibitor participation, directory inclusion, or a link does not necessarily constitute YCMHA’s endorsement of a product, service, claim, professional, or organization.
You are responsible for evaluating third-party products and services before purchasing or relying on them.
18. Third-Party Websites and Services
The Website may link to or embed services operated by third parties, including payment processors, email platforms, registration tools, video platforms, social networks, maps, forms, directories, and external resources. Third-party services are governed by their own terms and privacy practices.
YCMHA does not control and is not responsible for the availability, accuracy, security, accessibility, content, privacy practices, products, services, or actions of third parties. A link or embed is provided for convenience and does not necessarily constitute endorsement.
19. Responsible Use
You agree not to:
- Use the Website for unlawful, fraudulent, deceptive, harassing, threatening, discriminatory, or abusive purposes;
- Introduce malware or attempt to interfere with Website security, performance, or availability;
- Access or attempt to access another person’s account;
- Scrape, harvest, compile, or use Website or directory information for unsolicited marketing, automated data collection, sale, redistribution, or creation of a competing directory;
- Misrepresent your identity, credentials, organization, affiliations, licensure, services, or authority;
- Copy, distribute, or misuse member-only content or virtual-event access information;
- Submit confidential client information or protected health information; or
- Use the Website in a manner that violates applicable law or another person’s rights.
20. Privacy and Cookies
Our collection and use of personal information are described in our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.
You agree that information you provide through registrations, accounts, forms, purchases, directories, and submissions will be accurate and that you have authority to provide it. Do not submit protected health information, confidential client information, or sensitive personal information through general Website forms unless YCMHA expressly requests and authorizes that information through an appropriate process.
21. Website Availability and Changes
The Website and its content are provided on an “as is” and “as available” basis. We may update, correct, modify, suspend, or discontinue Website features when reasonably necessary for maintenance, security, legal compliance, technology changes, or operational needs.
We do not guarantee uninterrupted, error-free, or continuously available access. We will make reasonable efforts to maintain paid features during an active paid term. If YCMHA permanently discontinues a material paid service before the end of the applicable term for reasons unrelated to a user’s breach, YCMHA will determine an appropriate remedy consistent with the applicable service terms, which may include continued access, a substitute benefit, a credit, or a prorated refund.
22. Disclaimers
To the fullest extent permitted by law, YCMHA disclaims express and implied warranties regarding the Website and its content, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, noninfringement, availability, and security.
YCMHA does not guarantee outcomes from memberships, referrals, networking, continuing education, events, resources, sponsorships, directory listings, affiliate products, or third-party services. Information may contain errors or become outdated. You are responsible for evaluating information before relying on it.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
23. Limitation of Liability
To the fullest extent permitted by applicable law, YCMHA and its owner, employees, contractors, representatives, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; loss of profits, revenue, business opportunities, goodwill, or data; or damages arising from third-party conduct, services, directory information, external links, event changes, or unauthorized account access.
Except where a separate written agreement provides otherwise, YCMHA’s aggregate liability arising from or relating to a paid membership, event, program, sponsorship, advertisement, exhibitor opportunity, digital resource, or other paid service will not exceed the amount the claimant actually paid to YCMHA for the specific offering giving rise to the claim during the 12 months preceding the event giving rise to liability.
For claims arising solely from use of free Website content or a free service, YCMHA’s liability will be limited to the maximum extent permitted by law.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability to the extent caused by conduct for which a limitation is prohibited by applicable law. Because enforceability varies by claim and jurisdiction, this section is intended to apply only to the maximum extent permitted by law.
24. Indemnification
To the extent permitted by law, you agree to indemnify and hold YCMHA harmless from third-party claims, losses, liabilities, damages, and reasonable expenses arising from your Submitted Content; your infringement of intellectual property, privacy, publicity, confidentiality, or other rights; your unlawful or fraudulent conduct; your misuse of the Website, directory information, member resources, or event access; or your material violation of these Terms.
This obligation does not require you to indemnify YCMHA for claims caused solely by YCMHA’s own conduct where such indemnification would be prohibited by law.
25. Force Majeure
Neither party will be considered in breach for a delay or failure to perform caused by events beyond that party’s reasonable control and not caused by its fault or negligence. Such events may include severe weather, wildfire, natural disaster, epidemic, public-health emergency, government order, war, terrorism, civil disturbance, labor disruption, transportation interruption, widespread utility or internet failure, venue closure, or the unavailability of essential facilities or services.
When a force majeure event affects a YCMHA event or paid service, YCMHA may reasonably reschedule, relocate, modify, substitute programming, change the format, provide virtual access, issue a credit, or cancel the affected offering. Refunds, credits, transfers, and sponsor or exhibitor remedies will be determined under the applicable event policy or separate written agreement. Force majeure does not excuse payment obligations already due for services or benefits already provided.
26. Enforcement and Termination
We may investigate suspected violations of these Terms and take reasonable action, including removing content, restricting features, suspending or terminating accounts, canceling registrations, revoking directory access, preserving records, or referring unlawful conduct to appropriate authorities.
When access is terminated because of a user’s material breach, fraud, nonpayment, safety risk, or misconduct, the user may not be entitled to a refund. Termination does not eliminate payment obligations or other responsibilities that arose before termination.
27. Assignment
You may not assign or transfer your rights or obligations under these Terms without YCMHA’s prior written consent. YCMHA may assign these Terms in connection with a merger, reorganization, transfer of ownership, sale of assets, or lawful restructuring of its operations, subject to applicable law.
28. Waiver and Severability
YCMHA’s failure to enforce a provision is not a waiver of that provision or the right to enforce it later.
If any provision of these Terms is found invalid or unenforceable, it will be modified or limited to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in effect.
29. Governing Law and Venue
These Terms are governed by the laws of the State of Montana, without regard to conflict-of-law principles. To the extent permitted by law, any legal action arising from or relating to these Terms or the Website must be brought in an appropriate state or federal court serving Yellowstone County, Montana, and the parties consent to the jurisdiction of those courts.
Nothing in this section deprives a consumer of a protection or right that cannot lawfully be waived.
30. Changes to These Terms
We may update these Terms to reflect changes in the Website, services, business practices, or legal requirements. The “Last updated” date will identify the most recent revision.
Material changes affecting an active paid membership or service may also be communicated by email or through an account notice when reasonably practicable. Changes apply prospectively from their effective date unless applicable law permits or requires otherwise. Your continued use of the Website after the effective date constitutes acceptance of the revised Terms; when required, we may request affirmative acceptance.
31. Entire Agreement
These Terms, the Privacy Policy, the Cookie Policy, and any additional terms, registration policies, invoices, or written agreements applicable to a specific offering constitute the agreement between you and YCMHA concerning the Website and that offering.
